My 500W power supply just busted...I have a 350W one laying around. Would it be okay to use it to run my amd athlon 64 3200+ and geforce 6800?

it would all depend on how much power your comps requires and how reliable you ower supply is like if it was a stock power supply then i wouldn't attemp to put it in you might want to get a new one if that is case

I had a P4 2.8 w/HT and a GeForce 6800 along with two cd-rom drives and two ide drives powering off of one 350w supply.

If its one of those generic, came-with-the-case PSU's I would wait till you get a new one. On the other hand, if its something you trust, especially if is it has overload/underload protection it probably won't hurt. 350 watts sounds about right on the line for your machine. Try keeping it as cool as possible, maybe install another fan next to it if you have an extra. If your PC gives you any issue whatsoever after installing it, such as unexplained shutdown/reboot or any other type of quirk that wasn't there before I would take it out immediately and wait to get a new one before using your PC again just to be on the safe side. Too many horror stories about there about this kind of thing.

The huge 140mm fan on bottom should help keep my gigabyte 6800 fanless cooler, since it will be blowing right on the pipes, which will be sucked out with the exhaust fan on the side window.

I'm not 100% certain but I believe the fan on that PSU is an intake fan not an exhaust... So it will probably be sucking the heat off the pipes instead of blowing on them... I have a similar PSU from Aspire with a 120mm fan. Mine takes air from inside the computer.. works really well..
